Presentation of the Unidroit's Principles of International Commercial Contracts

Abstract

These Principles elaborated by the International Institute for the Unification of Private Law (Unidroit) set an international restatement of general rules of contract law. They can be presented as a codification of the New Law Merchant in the field of international commercial contracts. Formally, not being a binding instrument as an international convention or a model law, their application depends mostly on the parties' agreement.

Rome Convention on the Law applicable to contractual obligations: special reference to the international mandatory rules

Abstract

Article 7 RC is an exception to the normal operation of the conflict rule and, therefore, it may implied a restriction to the intention of the contracting parties that have chosen the applicable Law. This article admits the application of the internationally imperative rules of a third State with which the situation is closely connected, whenever they are imperative irrespectively of the Law applicable. This seminar aim to study the criteria that will allow to identify the internationally mandatory rules and to delimit their scope of application.

Fundamental Rights of Companies and other legal persons in Transnational Law

Abstract

The lecture deals with the possibility for companies and other legal persons to hold fundamental rights. It starts with an explanation about the corporate personhood doctrine in US constitutional law, where Courts have even recognized political rights to legal persons. In following sections, it will be analysed the companies rights (procedural and substantive) in the present multilevel constitutional system and the potential conflicts between the different levels (national constitutional level, EU level, ECHR level). The lecture will conclude pointing out recent jurisprudential developments in the issue of UN security council smart sanctions and access to justice fundamental right.
